Terms of Service

These Terms apply to VayoMed services, including the website, dashboard, reports, content operations, AI visibility tools, sales intelligence, and social publishing workflows.
1. Agreement to these terms
These Terms of Service govern your access to and use of VayoMed websites, dashboards, reports, content workflows, social publishing workflows, sales intelligence tools, and related services. By accessing or using the services, you agree to these Terms.
If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, the words you and your refer to both you and that organization.
If you have a signed agreement, order form, statement of work, or similar written agreement with VayoMed, that written agreement controls if it conflicts with these online Terms.
2. Our services
VayoMed provides business-facing commercialization infrastructure for life sciences, medical device, diagnostics, and healthcare product companies. Services may include AI visibility monitoring, brand and competitor reports, content strategy, content drafting, website and dashboard access, sales intelligence, social media content operations, and authorized publishing support.
Some services may use AI-assisted workflows, third-party data providers, social media APIs, analytics tools, or human review. The exact services, deliverables, timing, fees, and success criteria are described in the applicable proposal, order, statement of work, or written agreement.
The services are not medical advice, legal advice, regulatory advice, clinical decision support, or a substitute for professional review. You are responsible for reviewing all claims, product references, regulatory statements, citations, and public-facing content before use or publication.
3. Accounts and access
You are responsible for keeping your account credentials secure and for all activity under your account. You must promptly notify VayoMed if you believe your account or any connected integration has been compromised.
You may only access workspaces, company data, reports, drafts, connected accounts, and deliverables that you are authorized to access. You must not share dashboard access with unauthorized users.
VayoMed may suspend or restrict access if we reasonably believe that an account is being used without authorization, in violation of these Terms, in violation of a third-party platform's terms, or in a way that creates security, legal, operational, or reputational risk.
4. Customer content and instructions
You retain ownership of business materials, brand assets, product information, content briefs, uploaded files, comments, approvals, and other content you provide to VayoMed. You grant VayoMed the rights needed to host, copy, process, modify, create derivative drafts from, transmit, display, and use that content to provide the services.
You are responsible for ensuring that your materials and instructions are accurate, lawful, authorized, and do not infringe or violate the rights of others. You must not submit patient records, protected health information, sensitive medical information, or other regulated data unless a separate written agreement expressly permits it.
When VayoMed prepares drafts, reports, images, social posts, or other deliverables, you are responsible for reviewing and approving them before use unless your written agreement states otherwise. You are also responsible for confirming that published content complies with applicable industry rules, advertising rules, platform rules, company policies, and regulatory requirements.
5. Deliverables and ownership
Unless a written agreement states otherwise, VayoMed retains ownership of its platform, software, workflows, templates, methods, prompts, know-how, pre-existing materials, analytics frameworks, and internal tools.
Subject to your payment obligations and any restrictions in an applicable agreement, you may use final deliverables that VayoMed creates specifically for you for your internal business operations and approved external marketing, communications, and sales activities.
Drafts, concepts, unused options, internal working files, source files, prompts, and process materials are not included unless expressly stated in a written agreement.
6. AI-assisted and data-assisted outputs
VayoMed may use AI tools, public sources, customer-provided materials, licensed data providers, and third-party APIs to generate drafts, summaries, reports, images, recommendations, and other outputs.
AI-assisted and data-assisted outputs may contain errors, omissions, outdated information, unsupported conclusions, or formatting issues. You must independently review outputs before relying on them, publishing them, submitting them for regulatory review, or using them in customer-facing materials.
VayoMed does not guarantee that outputs will be free from factual errors, intellectual property concerns, regulatory issues, or third-party platform restrictions unless a written agreement expressly provides a different standard.
7. Social publishing and LinkedIn integrations
If you connect LinkedIn or another social platform, you authorize VayoMed to use that connection only for the features you enable, such as verifying authorized access, preparing drafts, uploading media, scheduling approved posts inside VayoMed, publishing approved content, and displaying status or reporting data.
You must have the right to connect the profile, Company Page, organization, or social account you select. You are responsible for complying with LinkedIn's terms, developer policies, advertising rules, community rules, and any other third-party platform requirements.
VayoMed does not collect LinkedIn passwords, hide consent flows, scrape LinkedIn, use unofficial LinkedIn endpoints, read private messages, export connections, or publish content to accounts you have not authorized. Draft or pre-filled content must be reviewed and editable before publication unless your written agreement and platform rules allow a different workflow.
Third-party platforms may change APIs, permissions, rate limits, review requirements, or policies at any time. VayoMed is not responsible for delays, errors, rejections, suspensions, or loss of functionality caused by third-party platform changes or account restrictions.
8. Acceptable use
You may not use the services to violate law, infringe intellectual property or privacy rights, mislead users, impersonate others, distribute malware, bypass security controls, scrape or harvest data without authorization, spam, send unsolicited mass messages, or publish unlawful, discriminatory, defamatory, deceptive, obscene, or harmful content.
You may not use the services to make unsupported medical, clinical, safety, efficacy, superiority, reimbursement, regulatory, or product claims. You may not use the services for off-label promotion, patient targeting, or any activity that violates healthcare, advertising, privacy, anti-spam, export control, sanctions, or platform rules.
You may not reverse engineer, copy, resell, sublicense, overload, disrupt, or attempt to gain unauthorized access to VayoMed systems, APIs, dashboards, workflows, or connected third-party services.
9. Third-party services
The services may rely on third-party platforms and providers, including hosting, analytics, authentication, email, file storage, AI models, data providers, payment or billing tools, and social media APIs.
Your use of third-party services may be subject to separate terms and privacy policies. VayoMed is not responsible for third-party services, API availability, data accuracy, review decisions, outages, policy changes, or actions taken by third-party platforms.
10. Fees and payment
Fees, payment timing, success criteria, refund terms, and billing details are governed by the applicable proposal, order form, statement of work, invoice, or written agreement.
Unless a written agreement states otherwise, fees are non-refundable once services have been performed or deliverables have been provided. Late payments may result in paused work, suspended access, or collection of amounts owed.
11. Confidentiality
Each party may receive non-public business, technical, financial, product, customer, marketing, strategy, or operational information from the other party. The receiving party must use reasonable care to protect confidential information and may use it only to perform or receive the services.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already known without restriction, independently developed without use of confidential information, or lawfully received from a third party without restriction.
12. Privacy
VayoMed's collection and use of personal information is described in our Privacy Policy. By using the services, you acknowledge that VayoMed may process information as described in that policy.
13. Disclaimers
The services and deliverables are provided on an as-is and as-available basis unless a written agreement states otherwise. VayoMed does not guarantee specific business outcomes, rankings, engagement, leads, conversions, revenue, publication acceptance, regulatory approval, search visibility, AI citation behavior, or third-party platform performance.
To the maximum extent permitted by law, VayoMed disclaims all warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
14. Limitation of liability
To the maximum extent permitted by law, VayoMed will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or third-party platform restrictions.
Unless a written agreement states otherwise, VayoMed's total liability for claims arising out of or relating to the services will not exceed the amounts paid by you to VayoMed for the services giving rise to the claim in the three months before the event giving rise to liability.
15. Indemnification
You agree to defend, indemnify, and hold harmless VayoMed from claims, damages, liabilities, losses, and expenses arising from your materials, instructions, approvals, use of deliverables, violation of these Terms, violation of law, violation of third-party rights, or violation of third-party platform terms.
16. Changes and termination
We may update these Terms from time to time. If changes are material, we will update the effective date and provide additional notice where required.
You may stop using the services at any time, subject to payment obligations and any written agreement. VayoMed may suspend or terminate access if required by law, a third-party platform, security concerns, non-payment, or violation of these Terms.
17. Governing law
The governing law and venue stated in an applicable written agreement will apply. If no written agreement specifies governing law, these Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless applicable law requires otherwise.
