When does your press release become a Form 8-K exhibit? It depends on the event, not the label.
In four life-sciences filings this summer, Exhibit 99.1 was an earnings release, an investor deck, a PMA-supplement notice and a Phase 3 topline. Same exhibit number, three different 8-K items.
The clocks differ too. Most 8-K events have four business days. The 48-hour window for an earnings call is a condition, not an extension.
So route every announcement by event, item, document and clock, and have counsel check it before it goes to EDGAR.
Three steps. One: keep an event record for each release. Two: list each exhibit and its job. Three: check four surfaces before you submit.
Get the item right before the headline goes out.
